Northern Son Home Renovation & General Contracting
(“Northern Son”, “we”, “us”, “our”)

Effective Date: _2026/01/01_________

By engaging Northern Son Home Renovation & General Contracting to perform any work or services, the client (“Client”, “you”) agrees to the following Terms of Service.

 
1. Scope of Work

All work shall be performed strictly in accordance with the written estimate, quote, work order, or contract provided by Northern Son (“Scope of Work”). Any work not expressly included in the Scope of Work is excluded unless agreed to in writing as a change order.

Verbal agreements or assumptions are not binding.

2. Estimates and Pricing

All estimates are based on information available at the time of quoting. Prices may be subject to change due to:

  • Hidden or unforeseen conditions

  • Material price increases

  • Changes requested by the Client

  • Site access limitations

  • Code or inspection requirements discovered during the work

Estimates are valid for 30 days unless otherwise stated.

3. Change Orders

Any modification to the Scope of Work must be approved in writing via a change order. Change orders may affect pricing and timelines. Work on changes will not proceed until written approval is received.

4. Payment Terms

Unless otherwise agreed in writing:

  • Invoices are due upon receipt or within the payment terms stated on the invoice.

  • Deposits may be required prior to commencement of work.

  • Progress payments may be required for larger projects.

Northern Son reserves the right to suspend or delay work if payment is not received when due.

5. Non-Payment

Failure to pay invoices in accordance with agreed terms may result in:

  • Suspension of work

  • Delay in project completion

  • Collection action

  • Lien registration where permitted by law

  • Responsibility for reasonable collection and legal costs

Northern Son is not responsible for project delays caused by non-payment.

6. HST and Taxes

Applicable taxes (including HST) will be charged in accordance with CRA regulations. If invoicing occurs prior to HST registration or number issuance, taxes may be invoiced retroactively where permitted by law.

7. Scheduling and Delays

Project timelines are estimates only. Northern Son is not responsible for delays caused by:

  • Weather

  • Material shortages

  • Inspection delays

  • Trades or suppliers

  • Client delays or changes

  • Force majeure events beyond our control

8. Site Conditions

The Client is responsible for ensuring:

  • Safe and reasonable access to the work site

  • Utilities (power, water, heat if required) are available

  • The site is clear of personal belongings unless otherwise agreed

Northern Son is not responsible for damage caused by pre-existing conditions, hidden defects, or structural issues not visible prior to work commencing.

9. Permits and Inspections

Unless specifically stated in writing, the Client is responsible for obtaining permits and arranging inspections. Where Northern Son agrees to assist with permits or inspections, associated fees are not included unless expressly stated.

10. Materials

Materials supplied by Northern Son remain our property until paid for in full. Manufacturer warranties apply where applicable; Northern Son does not guarantee manufacturer performance beyond installation workmanship.

11. Workmanship Warranty

Northern Son provides a limited workmanship warranty for a period of one (1) year from completion, covering defects resulting from improper installation.

This warranty does not cover:

  • Normal wear and tear

  • Abuse, misuse, or neglect

  • Damage caused by others

  • Manufacturer defects

  • Movement, settling, or environmental conditions

12. Limitation of Liability

To the fullest extent permitted by law, Northern Son’s liability is limited to the value of the work performed. We are not liable for indirect, incidental, or consequential damages.

13. Client-Supplied Materials

Northern Son is not responsible for defects, delays, or failures related to materials supplied by the Client.

14. Termination

Either party may terminate the agreement with written notice. The Client is responsible for payment of all work completed, materials ordered, and costs incurred up to the date of termination.

15. Safety

Northern Son reserves the right to stop work if unsafe conditions exist. Safety decisions are final and non-negotiable.

16. Dispute Resolution

Any disputes shall first be addressed through good-faith discussion. If unresolved, disputes shall be governed by the laws of the Province of Ontario.

17. Governing Law

This agreement shall be governed by and construed in accordance with the laws of Ontario, Canada.

18. Acceptance

Engaging Northern Son, approving a quote, signing an estimate, or allowing work to proceed constitutes acceptance of these Terms of Service.
